Definitions:
Us / We / Our : Refers to “company name”, FN 309 771x, trading as “.....”, with a registered address at…………….. . In other words; the company operating the Platform.
You/ Your/ User: Any individual or legal entity accessing or using our Platforms.
Platform: Our mobile application ( ) and website www.( )
Services: Any kind of interaction/activity with our system via our Platfroms such as, but not limited to, browsing, downloading, installing, viewing, testing or opening our software and Services interface and processing our data.
Minimal Viable Product (MVP):The MVP is a finished working product that only contains the least amount of features that express the core of the idea. Startup founders use it to gather feedback from early adopters in order to develop further iterations and make sure that they are developing a solution that has a market.
Account: The private/ legal account opened by the user for the use of our Platform.
SNS/ SNS Account: Third-party social networking sites including but not limited to Facebook, Weibo, Google+ or Twitter.
Terms of Use: Rules, specifications and requirements for the use of our Platforms. It is a form of a contract between our company and end-users.
Intellectual Property Rights: All rights that we have to any, registered or unregistered, trademarks, software (including our Platform), copyright, know-how, trade secret, trade name or similar rights.
Governing/ Applicable Law: These Terms of Use and any non-contractual rights or obligations or disputes arising out of them shall be governed by and construed in accordance wiith the applicable laws of Austria.
Affiliates: For purposes of our agreement, “Affiliate” means our company and any other entities that directly or indirectly, throughout one or more intermediaries, controls or is controlled by or is under common control with our company.
Account Registration as a private person:
You will need to create an Account to access our services. When you create an Account, you will be asked to provide your personal information including a valid email address, a mobile phone number and a unique password. You are responsible for ensuring that the details you provide us with are correct and complete, and for constantly updating the provided information if they need to be changed.
You are solely responsible for maintaining the confidentiality of your password and for restricting any access to your account, as according to the relevant applicable law, you are responsible for all kinds of activities that might occur using your account and will be held liable for the future consequences of them. Hence, you must take all the necessary actions to ensure that your password is confidential, secure and strong.
In case of password disclosure to anyone or if you believe that the password is being, or is likely to be used in an unauthorized manner, you are responsible for informing us immediately to terminate or suspend your account. If you forget your password, you can reset it by clicking on "forgot password?”.
If you have an SNS Account, you have the possibility to create your Account using the credentials included therein. However, we are not responsible for any potential crashes or suspensions of these accounts; it is your responsibility to maintain the activation of the account that you used its credentials for signing up.
Upon successful registration and login, you will gain access to your personal account and will be able to edit your account details, store addresses and payment information for later use.
We reserve the right to require further information from time to time for the registration or continued use of an Account, if collecting this information becomes a legal requirement depending on the service provided.
We reserve the right to accept or decline an Account registration request without giving any reasons for the User.
You must not use your account: (i) in any way that causes direct or indirect damage to the website, or (ii) for illegal and fraudulent purposes
Account Registration as a legal entity:
If you need to create a legal Account to access our services, you will be asked to provide your legal entity name, registration number, VAT number, along with the name and the valid email address of the authorized person.
If you need to create a legal account using an SNS account, you are responsible for ensuring that the details you provide us with are correct and complete, and for constantly updating the provided information if they need to be changed.
Subject to clauses 1.1.2, 1.1.3, 1.1.4, 1.1.5, 1.1.6, 1.1.6, the same terms apply to the legal account and its uses.
Account migration from private person to legal entity:
If you want to change your private account to a legal one, you will need to provide us with the legal entity name, registration number, VAT number along with the authorized person’s personal information.
After providing us with the required information, you will need to sign a consent stating that you agree to create a legal account and abide with its legal constraints and guidelines.
Account Termination:
If you want to delete your Account, please send us a request email at: [email protected] or contact our help center via our website or mobile app.
We reserve the right to suspend or terminate your Account and/or use of our Services without prior notice if: (i) We believe that someone other than you is misusing your Account, (ii) You have been evidently involved directly or indirectly in any activity that is in breach of Our Terms and Conditions, user guidelines, Applicable Law or is illegal and harmful.
Multiple Accounts:
Your Account is personal and non-transferable. It is prohibited for a User to register or have more than one Account. In case of breach to the above provision, We reserve the right to cancel, suspend or disable the Accounts.
Intellectual Property Rights Infringement:
All trademarks, logos, images, and service marks, including these Terms as displayed on the website or in our marketing material are the Intellectual Property of our company and/or third parties who have authorised us with the right to use such proprietary rights.
You may not use, copy, republish, upload, post, transmit, distribute, or modify these Intellectual Property in any way without our prior written consent. The use of our Intellectual Property rights, including but not limited to our trademarks, copyrights and logo on any other website is not approved by us and is strictly prohibited. We will aggressively fully enforce Our Intellectual Property rights of the laws, including criminal prosecution.
We are not responsible for your use of data displayed on our Platform. Infringement of any rights of third parties not owned by us or our Affiliates is your sole responsibility, and you will be held liable for your actions.
Limitation of liability & Indemnity:
We do our utmost to ensure that the availability of our Services remains uninterrupted, quick and error-free. However, due to the nature of the internet and its unstable connection, this cannot be guaranteed.
Access to your Account might be suspended or restricted occasionally for maintenance, updates or introduction of new services. However, we will do our best to notify users before the temporary suspension by email, along with limiting the frequency and duration of any such suspension or restriction.
We are not responsible for: (i) losses that are not caused by any breach or leakage on our part, or (ii) any future business/ client loss (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure), (iii) any delay or failure to provide the most optimum solution due to insufficient amount of information or inaccurate information provided by the user, (iv) any crash or unanticipated performance of the electronic devices used to access our Services.
We, including our parent company, subsidiaries, Affiliates, agents and employees, are not liable, and you agree not to hold us responsible, for any damages or losses resulting directly or indirectly from:
The content or other information you provide when using the Services
Your misuse of or your inability to use our Services correctly
Delays or disruptions in our Services
Viruses or other malicious software obtained by accessing or linking to our Services
Bugs, errors or inaccuracies of any kind in our Services
Damage to your hardware device from the misuse of our Services
The content and actions of third parties using our Services
The duration which your listings appear in search results
Controlling Law and Jurisdiction:
These conditions are governed by the Austrian law. Accordingly, any dispute, claim, conflict difference or controversy arising out of or relating to the services provided by Us or the Terms stated including those related to the terms’ validity, construction or enforceability shall be mandatorily submitted to the “ ….” Court”.
Legal relationships between User, Startup User and My Startup Studio:
Your access and use of our Services constitute your agreement that the legal relationship between you and My startup studio is bound by our Terms of use.
My startup studio is not liable for any consequences and relationships created between our clients’ websites and external users accessing them. However, we will offer our clients the required legal clauses that should be stated clearly in their website’s Terms of use.
Quality of services:
We ensure that the Services provided under this agreement will be provided in a professional manner in accordance with the industry standards and to the best of our team’s ability. However, according to the nature of the Services provided and their dependency on unstable network connections, we do not guarantee that our services are error-free and not subject to delays and flaws.
Feedback, Reputation and Reviews:
During the course of this Agreement, Users are not obliged to but are welcome to provide feedback regarding software, products, services, business or technology plans, in the form of suggestions regarding the possible creation, modification, correction, improvement or enhancement of software, products and/or services, or input as to whether Users believe that our development direction is consistent with our own business and IT needs, along with the technology marketplace in general or not.
You hereby grant to our company a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully sublicensable right and license to publish, use, perform, display, implement, modify, re-format, create derivative works of, and otherwise exploit in any manner (commercially or non-commercially), any feedback provided to improve our Services or any other purpose such as marketing and advertising.
Feedback to My Startup Studio:
Feedback providers agree that the input they provide us with will not place My startup studio under any fiduciary or other obligation, and that we have the flexibility to either use the Feedback without any additional compensation to the provider, and/or to disclose the Feedback on a non-confidential basis or otherwise to anyone. We also reserve the right not to take the feedback into consideration without justification.
It is the User’s sole responsibility to ensure that no confidential information or false statements are included in the feedback section. We are not responsible for the leakage or disclosure of any confidential information written within the feedback section.
Advertising:
The User should be aware that even though our Platform displays ads and promotions, My Startup studio is not liable for any consequences arising from the websites that users are directed to and their content.
Taxes:
Private account and legal account users shall pay, and shall cause each of its Subsidaries to pay, 20% of ….. to relevant tax authorities.
A user shall be entirely responsible for reporting all taxes, stamp duties, license fees and other financial obligations related to the money earned from the MVPs that we create to the relevant tax authorities. We are not liable for supervising, reporting or resolving any legal complications between the user and the tax authorities.
Disclaimers:
We reserve the right to modify, update and adjust our terms of use without being obliged to notify the users beforehand; however, Users will be notified after the changes are implemented.
Dispute Resolution between Users and Startup Users:
It is the sole responsibility of Mystartup Studio users to resolve any disputes and fix any problems arising between them and their clients according to the Users’ own terms and conditions. We are not responsible for resolving any kind of disputes between our Users and third parties.
Dispute Resolution with Us:
The European Commission provides a platform for online dispute resolution (ODR) at http://ec.europa.eu/odr.
We reserve the right to ignore and exclude other dispute resolution methods according to Directive 2013/11/EU.
We reserve the right not to participate in dispute resolution proceedings unless a consumer arbitration board is fomed.

We reserve the right to respond to your complaint at our own pace and manner, depending on availability of our customer service representatives and their workload. We will do our best to satisfy unsatisfied Users; however, we do not guarantee resolving all the complaints received.
Privacy:
We are committed to maintaining the security and confidentiality of the data provided according to the GDPR and our private policy statement.
We process and store personal data according to our stated privacy policy. By accepting our Terms, you agree to accept emails and/or text messages from us concerning our Services
Eligibility:
You must be at least 18 years old to use or access any of the Services provided by us. By creating an account, you warrant that you are at least 18 years old and are legally bound by this agreement.
My StartupStudio is not responsible for any age misrepresentation or usage of fake IDs as we do not verify IDs. Hence, it is the user’s responsibility to provide us with a valid legal ID.
General:
We reserve the right to enforce our terms and conditions anytime even if they were not enforced in similar incidents in the past. Thus, we do not owe users justifications for choosing whether to enforce our terms of use or not in certain situations.
If a user files a lawsuit against us and the court does not approve our terms and conditions or they are not legally relevant to the filed lawsuit, we agree to abide by the alternative legal law that enforces the maximum judicial punishment.
Scope of My Startup Studio Services:
By using or accessing our Services, you agree to accept our terms and conditions and will be legally bound by this agreement.
It is your responsibility to review the terms and conditions thoroughly before accepting them. In case you do not agree with our terms and conditions, please do not proceed with using/accessing our services.
We try our best to create the most convenient functional MVP that suits your needs and matches your requirements; however, we do not guarantee providing an ideal solution for your proposed idea.
Even though we provide a myriad of different solutions and ways for implementing our user’s business idea, we may not be able to cover your startup idea due to many reasons. However, we can provide you with the most relevant alternative solution that matches your proposed idea.
Our website offers its users a big variety of different templates and designs, along with customizing special ones as long as it fits within our technical capabilities and limitations.
Using My Startup Studio:
The following is a non-exhaustive list of the types of conduct and/or activities that are illegal or prohibited on our Platform.
Using the Platform for any illegal purpose that violates our terms and conditions and/or applicable laws and regulations.
Posting any content that infringes the Intellectual Property Rights (as defined in section 2 of these Terms), privacy rights, publicity rights, or any other rights of us or a third party.
Posting content that is obscene, defamatory, threatening, harassing, abusive, slanderous, hateful, or embarrassing to any other person or entity.
Posting suicidal, risky, life-threating or dangeruous content that may cause harm directly or indirectly to any person.
Posting content that constitutes any kind of cyber-bullying, pornogrophy and nudity
Posting content that violates another person’s privacy as: personal information, private telephone numbers, residential addresses, email addresses or any other confidential data.
Posting URLs to external websites that are unsafe, contain viruses and scan/hack users’ devices
Posting content that promotes physical harm as assaulting, kidnapping, self-harming
Content that offers the sale,purchase or trade of unlawfully acquired goods as: weapons
Posting content that contains any form of false advertising, scams and spams.
Collecting personal information like email addresses without the consent of users
Trying to copy and paste and/or reuse our MVP’s code
Allowing any other person/legal entity to use your account to access our Platform
Overview:
We propose a platform that will allow the majority of software based startups to create a budget-friendly, functional MVP quickly and easily along with supporting users to identify their product-market fit. Our Platform is user-friendly and allow non-technical users to easily navigate through it as it works as follows:
The process starts with a smart wizard that guides the user to express their idea through a multistep process that relies on approximations from well-known and established ideas.
Once the information has been gathered, the system will automatically create an end-to-end fully functional MVP of the startup idea.
The user can then adjust the flow and data and each page of the newly created MVP to further customize the idea as needed (no development knowledge is required for this editing step).
Once the user is satisfied with the end result, they can immediately launch it and share it with their early developers.
Our Pllatform’s dashboard will present the user with the gathered usage and analytics data to allow them to iterate on the idea as many times as needed till they are satisfied that the startup idea has a guaranteed future.
Our Platform offers a freemium model for the free plan users and a subscription model for the paid plans.
